These Terms of Service ("Terms") govern your access to and use of InstiPays, including its website, platform, applications, features, and related services.

By creating an account, accessing the platform, or using InstiPays, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable policies referenced by them.

If you are using InstiPays on behalf of an institution, organization, school, business, or other entity, you represent that you are authorized to accept these Terms on that entity's behalf.

InstiPays provides tools intended to help institutions and organizations manage payment collection, billing, customer or member accounts, payment records, reconciliation, reporting, and related administrative workflows.

InstiPays may connect with third-party payment providers or other services. The availability and operation of those services may depend on the relevant third-party provider.

You agree to use InstiPays only for lawful purposes and in accordance with these Terms.

Some InstiPays features may require an account. You are responsible for providing accurate information and keeping account information reasonably up to date.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account.

If you believe your account credentials have been compromised or that unauthorized activity has occurred, you should notify InstiPays as soon as reasonably possible.

Institutions and organizations are responsible for managing their authorized users and assigning appropriate access to their accounts.

InstiPays may provide functionality that allows customers, students, members, or other payers to make payments associated with an institution or organization.

Payment processing and movement of funds may be performed by connected third-party payment providers. Their respective terms, fees, requirements, and policies may apply to transactions.

InstiPays may record transaction information for purposes such as payment tracking, reconciliation, reporting, and settlement management.

Payment availability, processing times, transaction limits, supported payment methods, refunds, reversals, disputes, and related matters may depend on the payment provider, institution, organization, or applicable transaction terms.

InstiPays does not guarantee that every payment method or payment provider will always be available.

Institutions and organizations using InstiPays are responsible for the information, billing records, fees, balances, and other data they enter into or provide to the platform.

They are also responsible for communicating accurate payment information to their customers, students, members, or other payers.

You agree not to use InstiPays to:

• violate applicable laws or regulations;
• fraudulently obtain money, information, or access;
• impersonate another person or entity;
• attempt to gain unauthorized access to accounts, systems, or data;
• interfere with the operation or security of the platform;
• upload malicious code or harmful content; or
• use the service in a way that could reasonably harm InstiPays, its users, payment providers, or other parties.

InstiPays and its associated software, website, branding, designs, content, interfaces, documentation, and underlying technology may be protected by intellectual property laws.

Unless otherwise stated, InstiPays retains the rights to its platform and related materials. These Terms do not transfer ownership of InstiPays intellectual property to you.

You retain your rights to information and content that you provide to InstiPays, subject to the permissions necessary for InstiPays to operate and provide the services.

InstiPays may integrate with third-party payment providers, infrastructure providers, communication services, analytics tools, or other external services.

Third-party services may have their own terms, privacy policies, fees, limitations, and availability requirements.

InstiPays is not responsible for changes, interruptions, or policies of third-party services that are outside InstiPays' reasonable control.

We aim to keep InstiPays available and functioning reliably, but we do not guarantee uninterrupted or error-free operation.

The service may occasionally be unavailable due to maintenance, updates, technical problems, infrastructure issues, third-party service interruptions, or circumstances outside our reasonable control.

We may modify, update, suspend, or discontinue features of the service when reasonably necessary.

InstiPays is provided on an "as available" basis to the extent permitted by applicable law.

While we work to provide useful and reliable services, we do not guarantee that the platform will meet every institution's or organization's specific requirements or that every feature will always be available.

Information provided through the platform should be reviewed by the institution or organization before being relied upon for financial, administrative, or operational decisions.

To the maximum extent permitted by applicable law, InstiPays and its operators, affiliates, service providers, and representatives will not be responsible for indirect, incidental, special, consequential, or similar losses arising from or related to your use of the service.

This may include losses resulting from service interruptions, third-party provider issues, unauthorized access, data loss, or reliance on information provided through the platform, except where liability cannot legally be excluded or limited.

Nothing in these Terms is intended to exclude or limit liability where doing so would be prohibited by applicable law.

You may stop using InstiPays at any time, subject to any applicable contractual or payment obligations.

InstiPays may suspend or terminate access where reasonably necessary, including when an account violates these Terms, creates a security risk, involves unlawful activity, or presents a risk to InstiPays, its users, or third parties.

Where appropriate and reasonably possible, we may provide notice before taking action, except where immediate action is necessary for security, legal, or operational reasons.

Provisions that by their nature should continue after termination may remain applicable, including provisions concerning intellectual property, disclaimers, limitations of liability, and applicable obligations.

We may update these Terms from time to time to reflect changes to the service, business operations, legal requirements, or other relevant circumstances.

When changes are made, the updated version will be published on this page with a revised "Last updated" date.

Your continued use of InstiPays after an updated version becomes effective may constitute acceptance of the revised Terms to the extent permitted by applicable law.
